Welcome to Aprilluck (“Company”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your relationship with us as a commercial buyer (“Buyer”, “you”, “your”) and outline the conditions under which we agree to manufacture and supply products to you. By placing an order or engaging in business with us, you agree to be bound by these Terms.

1. Acceptance of Terms

By engaging our manufacturing services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, please do not proceed with any orders or inquiries.

2. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on our website. It is your responsibility to review these Terms regularly. Continued engagement with our services after any changes constitutes your acceptance of the new Terms.

3. Orders and Customization

3.1 Order Placement: All orders must be submitted in writing, either via email or through our official order form. The order will include details such as product specifications, quantities, colors, sizes, and any other relevant customization requirements.

3.2 Order Confirmation: Orders are considered confirmed only upon our written acceptance. We reserve the right to refuse any order for any reason, including but not limited to capacity constraints, material availability, or pricing errors.

3.3 Minimum Order Quantity (MOQ): Our MOQ for custom designs is 200-250 pieces per design. You may choose up to 3 different colors with mixed sizes per design.

3.4 Customization: We offer a variety of customization options, including custom colors, logos, and packaging. Custom colors require a minimum order of 200 pieces per color. You are responsible for providing high-resolution files for logos and other branding elements.

4. Sample Policy

4.1 Sample Requests: We provide available samples free of charge; however, you are responsible for the shipping costs. For new sample development, a sample fee may apply, which is refundable upon confirmation of a bulk order.

4.2 Sample Lead Time: The creation of new samples typically takes approximately one week. The sample lead time may vary depending on the complexity of the design.

5. Pricing and Payment Terms

5.1 Pricing: All prices are quoted in USD (unless otherwise agreed) and are subject to change without prior notice. Prices provided in quotations are valid for a limited period as specified in the quotation.

5.2 Payment Terms: For custom orders, a 30% deposit is required upon order confirmation, with the remaining 70% due before shipment. For sample orders, full payment is required upfront. We accept T/T, Western Union, Moneygram, and PayPal.

5.3 Late Payments: Late payments may result in delays in production or shipment. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.

6. Production and Quality Control

6.1 Production Lead Time: The production lead time generally ranges from 25-35 days after sample approval and receipt of the deposit. Lead times may vary based on the order quantity and complexity of the design.

6.2 Quality Control: We maintain strict quality control procedures throughout the production process. You are entitled to request a pre-shipment inspection at your own expense. Any defects identified during the inspection must be reported to us immediately for resolution.

7. Shipping and Delivery

7.1 Shipping Terms: We offer various shipping options, including air, sea, and express courier services. The choice of shipping method will be agreed upon during order confirmation. All shipping costs, including insurance, are the responsibility of the Buyer.

7.2 Delivery Time: Delivery times are estimates and are not guaranteed. We are not liable for any delays caused by shipping carriers, customs clearance, or other factors beyond our control.

7.3 Risk of Loss: All risk of loss passes to the Buyer upon our delivery of the products to the carrier. We recommend that you arrange appropriate insurance coverage for the shipment.

8. Returns and Refunds

8.1 Return Policy: We offer a 30-day return policy for defective or non-conforming products. To initiate a return, you must notify us within 30 days of receipt. All returned products must be in their original condition and packaging.

8.2 Refunds: Refunds will be processed after we have inspected and confirmed the returned products. Refunds will be issued to the original payment method, excluding shipping costs, unless the return is due to our error.

9. Intellectual Property

9.1 Ownership: All intellectual property, including designs, trademarks, and content provided through our Services, remains the property of Aprilluck. You may not use, reproduce, or distribute any content without our express written permission.

9.2 Custom Designs: Any custom designs created by us at your request remain our intellectual property unless otherwise agreed in writing. You are granted a limited license to use these designs for the purposes specified in your order.

10. Limitation of Liability

To the fullest extent permitted by law, Aprilluck shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our Services, including but not limited to loss of profits, loss of business, or loss of data.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Shenzhen, China, without regard to its conflict of law principles.

12. Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in Shenzhen, China, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC), except where prohibited by law.

13. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, acts of war, labor disputes, and governmental actions.

15. Entire Agreement
